1.0. TERMS AND CONDITIONS:
The SODA Terms and Conditions (“Terms”, “Terms and Conditions”) is a legally binding agreement between the user (“you”, “your”) and Rewriter Arts LLC (dba “Rewriters”, “Rewriter Arts”) (“Rewriters”, “Rewriter Arts”, “we”, “our”). By accessing and using Rewriters’ Simplified Online Digital Audio Services (“SODA”), you agree to be bound by these Terms. If you do not agree to all the conditions contained in the Terms, you must not access or use SODA.
2.0. PRIVACY PRACTICES:
Registration information and other information about you may be collected by Rewriter Arts through our services. Our collection and use of this information is bound by The SODA Privacy Policy.
3.0. LIMITATION OF LIABILITY:
Rewriter Arts is not liable for any damages or loss of any kind arising from your use of SODA. We will use reasonable efforts to protect personal information submitted by you in connection with SODA and shall use such information in accordance with The SODA Privacy Policy. Your submission of any information is at your sole risk, and to the maximum amount permitted by law, we hereby disclaim any and all liability to you for any loss or damages relating to such information in any ways that arise from your use of our services.
4.0. INTELLECTUAL PROPERTY RIGHTS and USER PERMISSIONS:
SODA and its contents, features, and functionality (including but not limited to all code, text, images, and audio assets) are owned by Rewriter Arts.
4.1. You may choose to access SODA through our Free Play option. This does not require the user to create an account, and thus does not require the user to submit username, email address, or password data. Free Play offers fewer features than are available to account-holding users. Omitted features include but are not limited to: saving arrangements of our audio properties (“Beat”, “Beats”), loading Beats, sound selection, and downloading finished Beats.
4.2. Upon creating an account and agreeing to these Terms, you are granted permission to access and use SODA to create Beats, to save your Beats to our server as .xml files (“Project Files”), and to load your Beats from our server. You are issued one (1) Download Credit which you can redeem in exchange for permission to download any single one of your Beats through a link provided by SODA’s built-in file-downloading interface (“The Generate Window”).
4.3. You may choose to purchase a Lifetime License to use SODA indefinitely. If you do so, the process of redeeming Download Credits to download Beats is dissolved, and you may download an unlimited number of Beats at no additional cost.
4.4. When you choose to download a Beat, a transaction will proceed as follows: The Generate Window will first play the Beat through your device’s audio output (a process which takes an amount of time equal to the duration of the Beat). During playback, you may choose to cancel the transaction. If you choose to cancel the transaction, you will NOT be provided with a download link. As soon as playback has concluded, the transaction will proceed, you will be provided with a link to download your Beat. For users who have not purchased a Lifetime License, the amount of Download Credits on your account will decrease by one (1) when you are provided with your download link. THIS TRANSACTION IS FINAL. Once the transaction has been concluded, the Project File for your Beat will be archived. You will no longer have permission to edit the Project File, but you will retain permission to download that Beat again without being obligated to exchange a Download Credit for the download link.
4.5. You are granted a commercial, transferable, irrevocable license to any Beat you download from SODA IF AND ONLY IF all of the following conditions are met.
A.) You download the Beat by exchanging a Download Credit for a download link provided by The Generate Window, OR you download the Beat from a SODA account with a Lifetime License OR if you are downloading a beat that you have previously downloaded with the aforementioned credit or full access criteria.
B.) You download the Beat while logged into a SODA account that you own and/or have explicit permission from its owner to access and edit.
C.) The billing information you provide (including but not limited to credit/debit card numbers, names, and addresses) is authentic and belongs to you.
D.) THE BEAT DOES NOT CONTAIN ANY MELODIC COMPONENTS THAT YOU DID NOT COMPOSE, OR DO NOT HAVE THE PROPER LEGAL LICENSE TO USE.
4.6. If all the conditions described above in Section 4.5 of these Terms are met, you will be granted a commercial, transferable, irrevocable license to use your Beat in ways and circumstances including but not limited to the following.
A.) Publish on sales and streaming platforms for profit.
B.) Make and distribute copies.
C.) Edit or supplement in other workstations.
D.) Sell online.
E.) Sample into your own productions.
F.) Use as a soundtrack piece to accompany other media.
5.0. PAYMENT TERMS:
Prices are quoted in US Dollars, and payments will be made in US Dollars. If using a currency that is not the US Dollar, that currency will be converted into US Dollars upon purchase.
5.1. No payment is required to create a SODA account. Payment is required in order to purchase Download Credits, subscribe to a monthly Download Credit plan, and purchase a Lifetime License.
5.2. Payments may be made by credit card, debit card, or any other such method Rewriters may introduce at its absolute discretion. Cash is not an accepted method of payment.
5.3.0. SUBSCRIPTIONS: If you choose to subscribe to a monthly Download Credit plan, your Billing Cycle will begin on the day of the month on which you select and pay for your Download Credit Plan (“Billing Date”), and you will be billed the same amount each following month on your Billing Date. In cases where your Billing Cycles begins on the 29th, 30th, or 31st day of a month, your Billing Date will be the last day of each month.
5.3.1. Each time you are billed for your subscription, an increase in the amount of Download Credits on your account equal to the amount listed on your Download Credit plan will be reflected upon your next login.
5.3.2. You may upgrade or downgrade your monthly Download Credit plan at any time. If you choose to do so, your previous Download Credit plan, including your Billing Cycle and Billing Date, will be canceled, and your new Download Credit plan, including your Billing Cycle and Billing Date, will begin anew as described above in Section 5.3.0. Subscription upgrades and downgrades can be made on the Shop page and on your SODA Account page.
5.3.3. You may cancel your monthly Download Credit plan at any time. If you choose to do so, your previous Download Credit plan will be canceled, and you will no longer be billed for your subscription. Subscription cancellations can be performed on your SODA Account page.
5.3.4. You may change your subscription's payment method at any time. Choosing to switch your subscription's payment method will shift all financial responsibility for your payment on your Billing Date to the new payment method. Changing your subscription's payment method will not trigger a charge on your subscription, and your subscription's Billing Cycle and Billing Date will remain the same.
5.3.5. If your subscription's Billing Date passes any you are unable to supply the funds to continue your subscription, be this due to insufficient funds, an expired payment method, or any other discernable reason for missing a payment, you will not be awarded your monthly set of download credits. In addition, SODA will attempt to charge your subscription's payment method ten days after your subscription is marked as past due. After ten days of being past due and having not provided an updated payment method for your subscription, SODA will again attempt to charge your subscription's payment method after another ten days. After twenty days of being marked as past due and having not provided an updated payment method for your subscription, your subscription will be automatically cancelled. Resolving the issue of your past due status through updating your subscription's payment method prior to your subscription's cancellation will result in you receiving your monthly credits as described in Section 5.3.1, and your subscription will be no longer marked as past due.
5.4. ALL SALES TRANSACTIONS ARE FINAL. Full or partial refunds will not be provided for Download Credits you purchased but do not intend to use, subscriptions canceled midway through a billing cycle, or the Lifetime License.
5.5. TO MAXIMIZE SECURITY, REWRITER ARTS DOES NOT HOLD, COLLECT, OR STORE CREDIT/DEBIT CARD INFORMATION. Such information is held by PCI compliant third party payment providers.
5.6. We disclaim any liability to your credit card company and/or bank for their own security measures and card declinations (including but not limited to fraud detection, automatic card freezes, and insufficient funds).
6.0. TERMINATION:
You may stop using our services at any time. You may cancel subscriptions at any time as outlined in Section 5.3.3 of these Terms. We reserve the right to suspend our services at our discretion and without notice for reasons including but not limited to piracy, unauthorized transactions, fraud, and cyber attacks against our servers.
7.0. NOTIFICATION OF CHANGES:
We reserve the right to revise these Terms at any time to better reflect the law, regulatory requirements, or changes to SODA. If an update to these Terms affects your rights and permissions as a user, you will be notified through the email address you provide at sign-up.

The SODA Privacy Policy details the information collected from the user (“you”,”your”) by Rewriter Arts LLC (dba “Rewriters”, “Rewriter Arts”) (“Rewriters”, “Rewriter Arts”, “we”, “our”,”us”) through Rewriters’ Simplified Online Digital Audio Services (“SODA”) and the associated web domain https://sodabeats.com, why this information is collected, by what means this information is collected, what this information is used for, how you will be informed of Privacy Policy changes, how you may contact Rewriters with questions about our site’s Privacy Policy, and how your information is protected. By accessing and using Rewriters’ Simplified Online Digital Audio Services (“SODA”), you consent to the terms of our Privacy Policy. If you do not consent to the terms of our Privacy Policy, you must not access or use SODA.
2.0. PERSONAL INFORMATION:
Registration information and other information about you may be collected by Rewriter Arts through our services.
2.1. When signing up for an account to use and access SODA, you must provide your first name, your last name, an email address, a username, and a password. Your name allows us to identify you in our database, your email address serves as our point of contact to send you transaction receipts, updates to the Privacy Policy and Terms and Conditions, and other information relevant to your access to and use of SODA. Your username and password serve as credentials to secure access to your account and may be collected and stored by cookies on our site in order to keep you logged in after your web browsing session expires.
2.2. When making a purchase, you must provide your credit/debit card numbers (including the card number, expiration date, and security code), first name, last name, and billing address (including street address, country, city, state, and zip code). This information is required in order to authenticate and authorize transactions between you and Rewriter Arts. TO MAXIMIZE SECURITY, REWRITER ARTS DOES NOT HOLD, COLLECT, OR STORE CREDIT/DEBIT CARD INFORMATION. Such information is held by PCI compliant third party payment providers.
2.3. As you navigate our site, your demographic information as a web user (including but not limited to country, city, gender, age, and language) is traced by Google Analytics. Google Analytics is compliant with all applicable data protection laws (including but not limited to the California Consumer Privacy Act, the General Data Protection Regulation, and the Lei Geral de Proteção de Dados). This information allows us to track SODA’s performance on the web, and provides insight into the effectiveness of our marketing tactics.
3.0. ACCESS TO YOUR INFORMATION:

Different information types are stored by and accessible only by Rewriter Arts, our PCI compliant third party payment providers and data protection law compliant Google Analytics.
3.1. Information pertaining to your credit card and/or debit card is not stored by Rewriter Arts. For ease of user access and faster repeat checkouts, our PCI compliant third party payment provider, Braintree, will collect and store your card number and expiration date. FOR YOUR SECURITY, NEITHER REWRITER ARTS NOR BRAINTREE STORES CVV CODES.
3.2. We do not sell user information. Your personal information is securely stored with us and our trusted third party service providers as detailed above.
